The following Terms and Conditions govern the offer and sale of products on this website www.molinispigadoro.com(Site).

Products purchased on the Site are offered and sold by Molini Spigadoro S.p.A. – Via IV Novembre, 4, 06083 Bastia Umbra PG, as the Data Controller(Molini Spigadoro).

  1. Scope of application

1.1 The sale of products through the Site(Products) constitutes a distance contract governed by Chapter I, Title III (Articles 45 et seq.) of Legislative Decree September 6, 2005, No. 206(Consumer Code) and Legislative Decree April 9, 2003, No. 70, containing the regulation of electronic commerce.

1.2 The General Terms and Conditions of Sale may be changed at any time. Any amendments and/or new conditions will be in force from the moment of their publication on the Site. For this reason, users are invited to regularly access the Site and consult the most up-to-date version of the General Conditions of Sale before making any purchase. The applicable General Terms and Conditions of Sale are those in effect on the date the purchase order is submitted.

1.3 These General Conditions of Sale do not regulate the sale of products and/or provision of services by parties other than Molini Spigadoro that are present on the Site through links, banners or other hypertext links. You should check their terms and conditions of sale before engaging in commercial transactions with such parties. Molini Spigadoro is not responsible for the provision of services and/or sale of products by such parties. On the websites that can be consulted through such links Molini Spigadoro does not perform any control and/or monitoring. Molini Spigadoro is therefore not responsible for the contents of such sites nor for any errors and/or omissions and/or violations of law on their part.

  1. Purchases on the Site

2.1 Access to sales made through the Site is restricted to users who are 18 years of age or older.

2.2 Molini Spigadoro reserves the right to refuse or cancel orders that come (i) from a user with whom it has ongoing legal disputes; (ii) from a user who has previously violated these General Terms and Conditions of Sale and/or the conditions and/or terms of a purchase agreement with Molini Spigadoro; (iii) from a user who has been involved in fraud of any kind and, in particular, in fraud relating to credit card payments; (iv) by users who have issued false, incomplete or otherwise inaccurate identification data or who have failed to promptly send Molini Spigadoro the documents requested by it under these General Conditions of Sale or who have sent it invalid documents; (v) by users who do not give sufficient guarantees of solvency.

  1. Site Registration

3.1 Registration on the Site is free of charge.

3.2 Registration credentials are to be used exclusively by the user and may not be transferred to third parties. The user undertakes to keep them secret and to ensure that no one has access to them, as well as to inform Molini Spigadoro without delay, contacting it as indicated in art. 14, in case of suspected misuse and/or disclosure of them. The user warrants that the personal information provided during the registration process on the Site is complete and true. The user agrees to hold Molini Spigadoro harmless from any damages, compensatory obligations and/or penalties arising from and/or in any way related to the user’s violation of the rules on registration to the Site or storage of registration credentials.

  1. Information directed to the conclusion of the contract

4.1 In accordance with Legislative Decree No. 70 of April 9, 2003, containing provisions on electronic commerce, Molini Spigadoro informs the user that:

– To conclude the contract for the purchase of one or more Products on the Site, the user must complete an order form in electronic format and transmit it to Molini Spigadoro, electronically, following the instructions that will appear from time to time on the Site and that will accompany the different stages of the purchase;

– the contract is concluded when the order form reaches Molini Spigadoro’s server;

– once the order form has been registered and confirmation of authorization for payment of the total amount due has been received, Molini Spigadoro will send the user, via e-mail to the e-mail address provided, confirmation of the order, containing details of the price, the means of payment used, information on the right of withdrawal, delivery costs and any additional costs as well as Customer Service contacts. It is recommended to keep the e-mail received as proof of purchase. The General Terms and Conditions applicable to the order, as well as the model instructions on withdrawal and the model withdrawal form in Art.

– the order form will be stored in Molini Spigadoro’s database for the time necessary to process the order and, in any case, within the terms of the law.

  1. Validity of offers and prices

5.1 All prices of the Products are in Euros (€) and are inclusive of Value Added Tax (“VAT”). Any additional costs, if any, will be expressly and separately indicated in the order form before you proceed to submit it.

5.2 The price of the Products may be modified by Molini Spigadoro at any time, without prior notice, it being understood that the price charged to the user will be that published on the information sheet illustrating the main characteristics of the Product(Product Sheet) at the time the order is sent. Any changes (upward or downward) in price subsequent to the transmission of the order will not be taken into account.

  1. Purchase Orders – Product Information

6.1 Molini Spigadoro will process the purchase order, and therefore will ship the purchased Product, only after receiving confirmation of authorization to pay the total amount due, consisting of the purchase price, delivery charges, if applied, and any other additional costs, as indicated in the order form(Total Amount Due). In the event that the Total Amount Due is not paid or the successful payment is not confirmed, the purchase contract shall therefore be deemed to be terminated as of right pursuant to and for the purposes of Article 1456 of the Italian Civil Code. Of such termination and the consequent cancellation of the order, the user will be notified immediately after the transmission of the order, via the Site.

6.2 The Products shall remain the property of Molini Spigadoro until payment by the user of the Total Amount Due. On the other hand, the risk of loss of or damage to the Products, due to causes not attributable to Molini Spigadoro, shall be transferred to the user when the user, or a third party designated by the user and other than the carrier, materially takes possession of the Products.

6.3 Each Product is accompanied by a Product Sheet. The images and descriptions on the Site reproduce as closely as possible the characteristics of the Products. The colors of the Products, however, may differ from the actual colors due to the settings of the computer systems or computers used by users to view them. The Product images in the Product Sheet, moreover, may differ in size or in relation to any accessory products. Such images should therefore be understood as indicative and within the tolerances of use. For the purposes of the purchase contract, the description of the Product contained in the order form transmitted by the user shall be deemed authentic.

  1. Availability of Products

7.1 The Products offered on the Site are limited in number. It may therefore happen, also due to the possibility that several users purchase the same Product at the same time, that the Product ordered is no longer available after the transmission of the purchase order.

7.2 In any case of unavailability of the Product ordered, without prejudice to the rights attributed to the user by law, and, in particular, by Chapter XIV of Title II of Book IV of the Civil Code, the user will be promptly informed by e-mail. The user will, therefore, be entitled to immediately terminate the contract, subject to the right to compensation for damages, pursuant to and in accordance with the provisions of Article 61, IV and V paragraph, of the Consumer Code. In the event that the user avails himself of the right of termination pursuant to Article 61, IV and V paragraph, of the Consumer Code or in any case in which the payment of the Total Amount Due has already taken place, Molini Spigadoro, without prejudice to the user’s right to compensation for damages, will make a refund of this amount without undue delay and, in any case, within a maximum period of 15 working days from the sending of the order. The amount of the refund will be communicated to the user by e-mail. This amount will be credited to the same means of payment used by the user for the purchase. Any delays in crediting may depend on the banking institution, type of credit card or payment solution used. In any case, the value date will be the same as the charge.

7.3 In the case of orders involving a plurality of Products(Multiple Order), if the unavailability affects only some of the Products covered by the Multiple Order – without prejudice to the rights attributed to the user by law, and, in particular, by Chapter XIV of Title II of Book IV of the Civil Code, and without prejudice to the application of art. 7.2 above, if the unavailability affects all the Products covered by the order – Molini Spigadoro will immediately notify the user by e-mail. The user will, therefore, be entitled to immediately terminate the contract, limited to the Product(s) that have become unavailable, without prejudice to the right to compensation for damages, pursuant to and in accordance with the provisions of Article 61, IV and V paragraph, of the Consumer Code. In the event that the user avails himself of the right of termination under Article 61, IV and V paragraph, Consumer Code, in relation to the Product(s) that have become unavailable, or in any case in which the payment of the Total Amount Due has already taken place, Molini Spigadoro, without prejudice to the user’s right to compensation for damages, will make a refund of the amount due in relation to such Product(s), including delivery costs, calculated as indicated in Art. 8.3 below, and any other additional costs, if any, due in connection specifically with such Product(s) (Partial Amount Due) without undue delay and, in any event, within a maximum period of 15 business days after placing your order. The amount of the refund will be communicated to you by e-mail. This amount will be credited to the same means of payment used by the user for the purchase. Any delays in crediting may depend on the banking institution, type of credit card or payment solution used. In any case, the value date will be the same as the debit date. Termination of the entire Multiple Order will be possible only in the case of clear and proven ancillary nature of the Multiple Order Products that have become unavailable to the other available Multiple Order Products.

  1. Delivery of Purchased Products

8.1 If due, the amount of delivery charges payable by the user in relation to a specific order shall be expressly and separately indicated (in Euros and inclusive of VAT) during the purchase process, in the order summary and, in any event, before the user proceeds to the transmission of the same. In the case of failure to indicate a specific delivery period, it will take place, in any case, within thirty days from the date of conclusion of the contract.

8.3 In the case of partial withdrawal from Multiple Orders, the amount of delivery charges to be refunded to you will be quantified in proportion to the value of the Product subject to withdrawal.

8.4 The delivery obligation is fulfilled by the transfer of physical availability or otherwise control of the Products to you.

It is up to the user to verify the condition of the Product delivered to him/her/that he/she has collected. Without prejudice to the fact that the risk of loss of or damage to the Products, due to causes not attributable to Molini Spigadoro is transferred to the user when the user, or a third party designated by the same and different from the carrier, materially comes into possession of the Product, it is recommended that the user verify the number of Products received and that the packaging is intact, not damaged, nor wet or otherwise altered, even in the sealing materials and the user is invited, in his interest, to indicate on the transport document of the carrier, any anomalies, accepting the package with reservations. Receipt without reservation of the Products, in fact, does not allow the user to take legal action against the carrier, in case of loss or damage of the Products, except where the loss or damage is due to malice or gross negligence of the carrier itself and except for partial loss or damage not recognizable at the time of delivery, provided that in the latter case, the damage is reported as soon as known and no later than eight days after receipt. In the event that the package shows obvious signs of tampering or alteration, the user is also recommended to give prompt notice to Customer Service. This is without prejudice, in any case, the application of the rules on the right of withdrawal and the legal guarantee of conformity. The courier makes two delivery attempts, after which it will send the Products back to Molini Spigadoro, which will refund the money to the customer. At the time of delivery nothing is due to the courier.

8.5 The provisions of Article 61 of the Consumer Code shall apply in the event that the purchased Product is not delivered or is delivered later than the delivery terms indicated during the purchase process and in the order confirmation.

In any case, Molini Spigadoro undertakes to notify the user, promptly and by e-mail, of the delay in delivery(Delay Notice E-mail), indicating at the same time the new delivery date, if available(NewDelivery Date), without prejudice to the rights of the user under Article 61 of the Consumer Code and the possibility of availing at any time of the ordinary means of protection made available by law and, in particular, by Chapter XIV of Title II of Book IV of the Civil Code.

8.6 Delivery charges, where due, remain the responsibility of the Customer and will be detailed prior to the placing of the Order (the “Delivery Charges“). Delivery charges are automatically calculated by the system based on the weight and place of delivery, at the time the Order is placed.

  1. Payment Methods

9.1 Payment for Products may be made by payment card or credit card via the Stripe or PayPal platform. In the event that one of these payment means/solutions cannot be used in connection with a specific Product, this will be clearly indicated on the Site, at the latest at the beginning of the purchase process.

9.2 For the issuance of the invoice, the information provided for this purpose by the user will be authentic, which he declares and guarantees to be true, undertaking to hold Molini Spigadoro harmless and indemnified against any damage, including penalties issued by the competent authorities, that may be caused to the same in the case of failure to respond to the truth of the same.

  1. Right of Withdrawal

10.1 A user who is a consumer has the right to withdraw from the contract concluded with Molini Spigadoro, without incurring costs other than those indicated in this article and without having to specify the reason, within fourteen (14) calendar days(Withdrawal Period). The Withdrawal Period expires after 14 days:

  1. (a) in the case of an order for a single Product, from the day the user or a third party other than the carrier and designated by the user acquires physical possession of the Product;
  2. (b) in the case of a Multiple Order with separate deliveries, from the day the user or a third party other than the carrier and designated by the user acquires physical possession of the last Product; or
  3. (c) in the case of an order for the delivery of a Product consisting of multiple lots or pieces, from the day on which the user or a third party other than the carrier and designated by the user acquires physical possession of the last lot or piece.

10.2. To exercise your right of withdrawal, you must inform Molini Spigadoro of your decision to withdraw, before the expiration of the Withdrawal Period.

10.3 For this purpose the user may:

(a) use the model withdrawal form(Model Withdrawal Form) made available to you on the Site, through the appropriate link, prior to the conclusion of the contract, and, in any case, through the “Right of Withdrawal” link on the Site and attached to the e-mail confirming the shipment; or

(b) submit any other explicit statement of its decision to withdraw from the contract(Declaration of Withdrawal).

The Model Withdrawal Form or Statement of Withdrawal should be sent to the following email address: [email protected].

Since the burden of proof regarding the exercise of the right of withdrawal before the expiration of the Withdrawal Period is on the user, it is in the user’s best interest to make use of a durable medium when communicating to Molini Spigadoro about their withdrawal.

10.4 For the return of the Product, the user may use a carrier of their choice with the cost of return borne by the user: in this case, the user, after having exercised the right of withdrawal in the manner indicated in this article, must return the Product to Molini Spigadoro, using a carrier of their choice and at their own expense, without undue delay and in any case within the period of 14 calendar days from the date on which they have communicated to Molini Spigadoro their decision to withdraw. The deadline is met, if the user returns the Product before the expiration of the fourteen-day period. The Product, properly protected and packaged, must be sent to the following address: Molini Spigadoro S.p.A., Via IV Novembre, 2/4 – 06083 Bastia Umbra – PERUGIA (Pg).

The direct costs of returning the Product to Molini Spigadoro are the responsibility of the user. The return of the Product to Molini Spigadoro is the responsibility of the user ; the product is considered to be returned at the time it is handed over to the carrier.

If you have used a discount code to purchase the Product for which you have exercised your right of withdrawal, the refund will be made only with respect to the amount of money actually spent by you, and not also with respect to the value of the discount code.

10.5 If you withdraw from the contract, Molini Spigadoro will proceed to refund the Total Amount Due paid by you for the Product, including delivery costs, if applicable, without undue delay and in any event no later than 14 calendar days from the day Molini Spigadoro was informed of your decision to withdraw from the contract. The refund will be made using the same means of payment used by the user for the initial transaction; in any case, the user will not incur any costs as a consequence of such refund.

10.6 In the case of partial withdrawal, the amount of delivery charges to be returned to you as a result of the withdrawal will be calculated as set forth in Section 8.3 above.

10.7 You shall be liable only for any diminution in the value of the goods resulting from any handling of the Product other than that necessary to establish the nature, characteristics and operation of the Product. In any event, the Product must be stored, handled and inspected with normal diligence and returned intact, complete in all its parts, fully functional, accompanied by all accessories and explanatory sheets, with the identification tags, labels and disposable seal, where present, still attached to the Product and intact and not tampered with, as well as perfectly suitable for its intended use and free of signs of wear or dirt. Moreover, the withdrawal applies to the Product in its entirety. It cannot therefore be exercised in relation to parts and/or accessories (which do not constitute independent Products) of the Product.

10.8 In the event that the withdrawal is not exercised in accordance with the provisions of applicable law, it will not result in the termination of the contract and, consequently, will not entitle the user to any refund. Molini Spigadoro will notify the user within 5 working days of receipt of the Product, rejecting the request for withdrawal. The Product, if already received by Molini Spigadoro, will remain at Molini Spigadoro at the user’s disposal for collection, which must take place at the user’s own expense and responsibility.

10.9 In the event that the Product for which the withdrawal has been exercised has suffered a decrease in value resulting from a handling of the good other than that necessary to establish the nature, characteristics and functioning of the Product, the refund amount will be reduced by an amount equal to this decrease in value. Of the circumstance and the resulting diminished amount of reimbursement Molini Spigadoro will notify the user within 5 working days of receipt of the Product, providing the same, if the reimbursement has already been paid, the bank details for the payment of the amount due by the user due to the diminished value of the Product.

10.10 In the event that, recurrence of one of the assumptions of the law, the right of withdrawal does not apply, this exclusion will be given specific and express notice in the Product Sheet and, in any case, during the purchase process, before the user proceeds to the transmission of the order. In any case, the user is reminded that, pursuant to Article 59 of the Consumer Code, the right of withdrawal is excluded, inter alia, in the event that the sale has as its object:

(i) custom-made or clearly customized products;
(ii) Of sealed products that are not suitable for return for hygienic or health protection-related reasons, which have been opened after delivery.

10.11 Regardless of the possibility to exercise the right of withdrawal, Molini Spigadoro offers the user the possibility to exercise the right of return, according to the terms and conditions indicated on the “Returns” page on the Site. The right of return is in addition to and does not replace the right of withdrawal governed by the preceding articles.

  1. Discount codes

11.1 On the Site you can also purchase through discount codes issued by Molini Spigadoro. If the value of the discount code is less than the value of the order, the remaining amount can be completed according to the payment methods provided on the Site.

11.2 Discount codes cannot be combined with each other against a single purchase. Discount codes can also be used for the purchase of products already on promotion. Discount codes cannot be used for payments of spending amounts less than their value. Each discount code can be used for only one purchase. Under no circumstances are discount codes entitled to change in the case of purchases of lesser amounts.

11.3 Any products for which discount codes cannot be used will be duly reported on the Site. In the event of cancellation for any cause of an order for which a discount code was used, the relevant amount will be credited back to the customer’s personal account.

11.4 Under no circumstances can coupons be converted into cash.

  1. Legal Warranty of Conformity

All Products sold on the Site are covered by the Legal Warranty of Conformity provided for in Articles 128-135 of the Consumer Code(Legal Warranty).

TO WHOM IT APPLIES

The Legal Warranty is reserved for consumers. It, therefore, finds application, only to users who have made the purchase on the Site for purposes unrelated to any entrepreneurial, commercial, artisan or professional activity carried out. To those who have purchased on the Site and who do not have the quality of consumers will be applied the warranty for defects in the thing sold, the warranty for defects in promised and essential qualities and the other guarantees provided for by the Civil Code with the relative terms, forfeitures and limitations.

WHEN APPLYING

The seller is liable to the consumer for any lack of conformity that exists at the time of delivery of the Product and that becomes apparent within two years of such delivery. The lack of conformity must be reported to the seller, under penalty of forfeiture of the warranty, within two months from the date it was discovered.

Unless proven otherwise, defects of conformity arising within six months after delivery of the Product shall be presumed to have existed on that date, unless such presumption is inconsistent with the nature of the Product or the nature of the defect of conformity. From the seventh month after delivery of the Product, on the other hand, it will be the consumer’s burden to prove that the lack of conformity already existed when the Product was delivered.

In order to take advantage of the Legal Warranty, the user must therefore first provide proof of the date of purchase and delivery of the goods. It is advisable, therefore, that the user, for the purpose of such proof, keep the purchase invoice, which Molini Spigadoro sends to him, or any other document that can attest to the date of making the purchase (for example, the credit card statement) and the date of delivery.

WHAT IS CONFORMITY DEFECT

A conformity defect occurs when the purchased good:

– is not suitable for the use for which goods of the same type are customarily used;
– does not conform to the description made by the seller and does not possess the qualities of the goods which the seller has presented to the consumer as a sample or model;
– does not possess the usual qualities and performance of goods of the same type, which the consumer can reasonably expect, taking into account also the statements made in advertising or labeling;
– is not suitable for the particular use intended by the consumer and which has been brought to the knowledge of the seller by the consumer at the time of the conclusion of the contract and which the seller has accepted.

Therefore, any failures or malfunctions or other defects caused by accidental facts or by the user’s responsibility or by use of the Product not in accordance with its intended use and/or with what is provided for in the technical documentation attached to the Product, if any, or in the instructions for use relating to it, are excluded from the scope of the Legal Warranty.

REMEDIES AVAILABLE TO THE USER

In case of conformity defect duly reported within the terms, the user has the right:

– in the first instance, to the repair or replacement of the good free of charge, at its option, unless the remedy requested is objectively impossible or excessively onerous in comparison with the other and, therefore, in the specific case, considering the type of sale, to the replacement, where this is possible in relation to the number of specimens still available for sale;
– secondarily (i.e., in cases where repair or replacement is impossible or excessively costly, or where repair or replacement has not been carried out within a reasonable period of time, or where repair or replacement previously carried out has caused significant inconvenience to the consumer) to the reduction of the price or termination of the contract, at the consumer’s option.

The remedy sought is excessively burdensome if it imposes unreasonable expenses on the seller in comparison with alternative remedies that can be pursued, taking into account (i) the value that the goods would have if there were no lack of conformity; (ii) the extent of the lack of conformity; and (iii) whether the alternative remedy can be pursued without significant inconvenience to the consumer.

WHAT TO DO WHEN THERE IS A CONFORMITY DEFECT

In the event that a Product purchased on the Site, during the period of validity of the Legal Warranty, manifests what could be a conformity defect, the user must contact Customer Service, at the contact details and in the manner indicated in art. 14. Molini Spigadoro will promptly acknowledge the communication of the alleged conformity defect and will indicate to the user the specific procedure to be followed, also in order to agree on the mode of shipment of the goods, also taking into account the merchandise category to which the Product belongs and/or the reported defect.

REIMBURSEMENT OR REDUCTION AS A RESULT OF THE APPLICATION OF THE LEGAL GUARANTEE

In case of termination of the contract, Molini Spigadoro will return to the user the total amount paid, consisting of the purchase price of the Product, shipping costs and any other additional costs. In case of price reduction, Molini Spigadoro will return the amount of the reduction, previously agreed with the user. Alternatively, the user may choose to receive a voucher, expendable on the Site, of equivalent value to the amount of the refund or, respectively, the reduction to which he is entitled.

The amount of the refund or reduction will be communicated to the user via e-mail and credited to the means or payment solution used by the user for the purchase.

Molini Spigadoro shall not be liable in case of damages, of any nature whatsoever, resulting from the use of the Product in an improper manner and/or not in accordance with the instructions provided by the manufacturer as well as in case of damages resulting from unforeseeable circumstances or force majeure.

  1. Applicable law and jurisdiction; out-of-court settlement of disputes – Alternative Dispute Resolution/Online Dispute Resolution

13.1 Contracts concluded between users of the Site and Molini Spigadoro are governed by Italian law. It is without prejudice to the application to consumer users who do not have their habitual residence in Italy of any more favorable and mandatory provisions provided for by the law of the country in which they have their habitual residence, in particular in relation to the deadline for the exercise of the right of withdrawal, the deadline for the return of the Products, in case of exercise of this right, the procedures and formalities for the communication thereof and the legal guarantee of conformity.

13.2 Please note that in the case of a consumer user, the court of the place where the user resides or has elected domicile shall have jurisdiction for any dispute relating to the application, execution and interpretation of these General Conditions of Sale.

13.3 Pursuant to Article 141-sexies, paragraph 3 of Legislative Decree September 6, 2005, n.206 (Consumer Code), Molini Spigadoro informs the user who holds the status of consumer under Article 3, paragraph 1, lett. a) of the Consumer Code, that in the event that he or she has submitted a complaint directly to Molini Spigadoro, as a result of which it has not, however, been possible to resolve the dispute thus arisen, Molini Spigadoro will provide information regarding the Alternative Dispute Resolution body or bodies for the out-of-court settlement of disputes relating to obligations arising from a contract concluded under these General Conditions of Sale (cc.d.. ADR bodies, as indicated in Articles 141-bis et seq. of the Consumer Code), specifying whether or not it intends to use such bodies to resolve the dispute itself.

Molini Spigadoro also informs the user who holds the status of consumer under Article 3, paragraph 1, lett a) of the Consumer Code that a European platform for online resolution of consumer disputes (so-called ODR platform) has been established. The ODR platform can be accessed at the following address. http://ec.europa.eu/consumers/odr/; through the ODR platform the consumer user will be able to consult the list of ADR bodies, find the link to the site of each of them and initiate an online dispute resolution procedure for the dispute in which he is involved.

The consumer user’s right to bring the dispute arising from these General Terms and Conditions of Sale before the competent ordinary court of law, whatever the outcome of the out-of-court settlement of disputes relating to consumer relations through recourse to the procedures referred to in Part V, Title II-bis of the Consumer Code, are in any event unaffected.

13.4 The user who resides in a member state of the European Union other than Italy, may, in addition, have access, for any dispute relating to the application, execution and interpretation of these General Conditions of Sale, to the European procedure established for small claims, by Council Regulation (EC) No. 861/2007 of 11 July 2007, provided that the value of the dispute does not exceed, excluding interest, fees and expenses, Euro 2,000.00. 14.1 It is possible to request information, send communications, request assistance, or file complaints by contacting Customer Service in the following ways:
